DFDL advised the client across Malaysia, Thailand and Vietnam, working closely with Freshfield and Junhe to support the execution of this complex, multi‑jurisdictional capital markets transaction. We are pleased to announce that DFDL Vietnam has advised Fisk Alloy, Inc. (Fisk) – a leading international manufacturer of high‑performance copper alloy wires and conductors—on its acquisition of the Special Wires business unit and the Advanced Wire Casting business from Thermo Technologies.

This strategic transaction marks a major milestone for Fisk and Thermo Technologies’ special wires business, creating a worldwide leader in high‑end specialty conductors for critical no‑fail applications across aerospace, defense, electronics, and medical technologies.

DFDL acted as Vietnam legal counsel to Fisk, advising on all Vietnam‑specific regulatory and transactional aspects of this complex and multi‑jurisdictional transaction, alongside international counsels including Troutman Pepper Locke (USA), August Debouzy (France), and JunHe (China).

DFDL is pleased to have advised De Heus Animal Nutrition on the Cambodian aspects of its acquisition of CJ Feed & Care from CJ CheilJedang, marking a significant expansion of De Heus’ footprint across Asia.

The regional transaction forms part of De Heus’ long-term strategy to strengthen its presence in key Asian markets. The deal includes 17 feed mills and several livestock operations across Vietnam, Indonesia, Cambodia, South Korea and the Philippines, reinforcing De Heus’ existing operations in Southeast Asia while enabling entry into new strategic markets.

DFDL advised on the Cambodian legal aspects of the transaction, supporting the client in navigating the local regulatory framework and facilitating the successful completion of the acquisition. DFDL’s work involved conducting legal due diligence on the target, providing legal advice on merger clearance and regulatory approvals for the transaction, advising on the restructuring of the landholding company and assisting with closing and preparation of the post-closing notifications.
