DFDL Advises Osotspa Public Company Limited on its Equity Investment in MGE Group

DFDL recently advised Osotspa Public Company Limited on its equity investment in Myanmar Golden Eagle Company Limited and Myanmar Golden Glass Company Limited, also called MGE Group. Osotspa Group’s investment represents minority stake in Myanmar Golden Eagle Company, whereas it’s a majority stake in Myanmar Golden Glass Company Limited. Osotspa Public Company Limited is a Thai producer of drinks based in Bangkok. MGE Group is a glass bottle manufacturer based in Myanmar. This investment is part of Osotspa Public Company Limited business expansion in Southeast Asia’s emerging economy. Audray Souche (Co-Managing Partner) led the transaction along with Nipaporn Supha-Utchaichan (Partner & Thailand Deputy Managing Director) and  Briana Olson (Regional Senior Legal Adviser & Deputy Head of ASEAN Desk) for Thailand. Nishant Choudhary (DFDL Partner & Myanmar Managing Director) and Bhawna Bakshi (Myanmar Legal Adviser) acted as OSP’s counsels for this project, which included drafting of transaction documents and advice on the project. The project holistically provides for backward and forward integration of Osotspa’s business operation in Myanmar. Osotspa is one of the rare companies in Myanmar with such vertical integration, ranging from production, input supply, and output sales.
