2014’s ADCE and Patent Tax Deadlines

Please note that the deadline for the filing of your 2014 Annual Declaration of Commercial Enterprise (“ADCE”) and the payment of your 2014 Patent Tax is fast approaching. Both requirements must be satisfied by 31 March 2015.

By law, an ADCE must be filed each calendar year in order to update the Ministry of Commerce on any changes to the information registered by a company during 2014.  If your enterprise fails to submit an ADCE or pay the Patent Tax it may be subject to fines and, if an ADCE is not filed for three (3) consecutive years, it may be deregistered. 

We also wish to remind you that the General Department of Taxation (“GDT”) requires taxpayers registered prior to 1 November 2014 to update their registration before they can be issued their Patent Tax Certificate.

In order to avoid the prospect of such sanctions, we would be pleased to assist you in preparing and filing the 2014 ADCE, facilitating the update of your registration with the GDT and the payment of your 2015 Patent Tax. 

In addition to assistance with the ADCE filing and payment of Patent Tax, we would also like to remind you that DFDL offers corporate secretary services to companies, which focus on the maintenance of statutory records and compliance with annual corporate governance requirements, including the holding of quarterly board meetings and the annual general meeting. We would be pleased to provide you with a proposal if you are interested in this service.

With an integrated tax practice, DFDL can also assist companies with the preparation and submission of their annual Tax on Profit (“TOP”) returns for the financial year ended 31 December 2014, which must be submitted to the General Department of Taxation by 31 March 2015 in order to avoid penalties under Cambodian law.
